GROUP PROGRAM GROUP COACHING AGREEMENT

You will be referred to as the “Client”

Lindsay at Loving with Intention is the “Coach”

Group Program referred to as “Relationship Recharge” or “group coaching program” or “the program”

 “Start Date” is the date initial payment or pay in full payment made.

1.   Legal Agreement – The Coach agrees to provide the Coaching Services to the Client in Revive upon the following terms and conditions.  By agreeing to this agreement, the Client and the Coach agree to be legally bound by and to abide by the following terms and conditions.
2.   Effective Date - This Agreement shall start upon the Start Date and shall be enforceable among the parties upon signing a copy of this Agreement in paper or in a digital format.
3.   Term – This Agreement shall start on the Start Date and shall continue until terminated by the parties in accordance with the terms of this Agreement.  Our agreement is from Start Date to April 12 2025. The Coach or the Client may terminate this Agreement immediately if the other party has breached any of the provisions of this Agreement. After End Date of April 12 2025, Coach will provide one 60 minute private coaching call to client as mentioned as bonus for joining Revive. Call must be booked for a date before April 30 2025 or bonus offer will expire. Coach will provide client with booking link in final week of Revive.
4.   Fees - The Client agrees to pay for the Group Coaching Services & Revive program provided to the Client , at the following rates:
5. Coach will be compensated at $447 USD (+ applicable taxes if Client is residing in Canada) as part of early bird  special if Client chooses pay in full option before Jan 25 11:59pm Pacific Time. Coach will be compensated at 3 payments of $160 USD (+ applicable taxes if Client is residing in Canada) as part of early bird special if client chooses Payment Plan option before Jan 25 at 11:59pm Pacific time. See details below on Payment Plan payments.
   After Jan 25 at 11:59pm Pacific time, early bird special expires and Coach will be compensated at $497 USD  (+ applicable taxes if Client is residing in Canada) if Client chooses pay in full option.  If Client chooses payment plan option, Coach will be compensated at 3 payments of $177 USD (+applicable taxes if Client is residing in Canada).
   A six payment plan option will be available via special link, not advertised on website. If Client chooses payment plan option, Coach will be compensated at 6 payments of $88 USD (+applicable taxes if Client is residing in Canada).
   
   

• If paying in full, total above to be paid to enter The Program.
  If payment plan chosen, first payment to be made to enter The Program then remaining payments to be made monthly from original payment date. Second and 3rd payment will be withdrawn automatically from Client’s payment method. (This is the same as the Second, third, fourth, fifth and sixth payments if choosing 6 Payment Option). In the event automatic payment fails, Coach will reach out to Client with invoice and Client has 3 days to pay or program access will be paused. If Client does not make payment within 7 days, Program access will be terminated and Agreement is terminated, no refunds will be given.
• Initial payment will be made via Check out Page website using Client’s preferred method of stated on options on Check out page.
• In the event that the Agreement is terminated, the Coach shall not refund any fees paid in advance for services not yet rendered to the Client unless in case of Money Back Guarantee outline in, see next bullet point
• Money back guarantee - If Client is not satisfied with Revive program for any reason and notifies Coach by Feb 5/2025 at 7pm Pacific time via email, Client will be refunded amount paid. If Client chose payment plan, initial payment will be refunded in full and subsequent payments will be cancelled.  If refunded for Money Back Guarantee, Client will immediately lose all access to every component of the Program. Money back guarantee expires after Feb 5 2025 at 7pm Pacific time.
• If Client would like private coaching sessions in addition to Revive during Agreement, each 60 minute session will be $150 USD  + applicable taxes if residing in Canada or each 90 minute session will be $200 USD + applicable taxes if residing in Canada. Coach will send Client invoice or Payment link, payment due prior to private session.
• The Coach agrees to give Client as much notice as possible if zoom calls will be rescheduled. If Coach cancels or reschedules a zoom call, Client will still have opportunity to attend 8 calls as agreed to in contract.
• If Client has to miss any call, Client has access to replay. Additional call(s) will not be added for Client. 

1.   Scope of Services – The Client hereby retains the Coach to provide professional coaching services focused on the following areas and goals (referred to in the Agreement as the “Coaching Services”):
2.   Coaching on relationship and personal growth
3.   Using research backed tools, training and NLP modalities (Coach has NLP certification) as well as research backed tools from Joy Potential Coaching Certification.
4.   Such other areas of focus may be determined from time to time by consultation and agreement of the Coach and the Client.  Any amendments to the scope of the Coaching Services must be confirmed in writing and agreed to by all of the parties.
5. The Coaching Services will be delivered in the form of weekly scheduled meetings rendered to the Client in a group coaching.teaching format through Zoom and in a private facebook community.  Weekly Zoom sessions will be recorded and uploaded to Kajabi portal, see confidentiality agreement for Client below.
   
   Client may not have a chance to be coached or a chance to ask a question during every live zoom call in this group program. Coach will make effort to ensure that Client gets coaching or gets to ask a question in at least one of the live calls if Client wishes. 

The Coach will also make herself  available to the Client via facebook group along with other Clients enrolled in Revive program between scheduled meetings. The Coach will check facebook group at least once per day Monday-Thursday between 9-5pm Pacific Time and will respond to Client messages within 48 hours or the next business day if Client messages on Friday. Coach may respond outside of these times but it is not an expectation. Client must tag Coach in message if wanting response from Coach as Client can also message with other members of group within facebook thread. Coach will support and coach Client only during group zoom calls and in private facebook community. Coach will not support or coach Client through individual messaging, email, or any other medium aside from group zoom call and private facebook community (unless Client pays for additional private calls as stated above). Coach is entitled to take blocks of days away from facebook community if communicated in advance to Client, these days will be added on after End Date.

Private facebook community will close April 12/2025.

Coach will share tools, pdfs and may share podcasts, videos and materials to supplement Client learning in Kajabi members portal and in facebook community.

1.   Coach Duties and Responsibilities – The Coach and the Client each acknowledge and agree to their respective duties and responsibilities under this Agreement, including the following duties and responsibilities of the Coach:
2.   The Coach agrees to conduct herself  in accordance with any applicable professional codes of ethics in all interactions with the Client. 
3.   The Coach agrees to set appropriate boundaries with the Client and to clearly explain the nature of coaching and the coaching relationship;
4.   The Coach hereby states that she  has accurately identified their qualifications, expertise, experience, training, certifications and credentials in their marketing materials, contract or communications with the Client; and
5.   The Coach agrees to identify and disclose any real or perceived conflicts of interest and shall offer to remove herself  in the event that a conflict of interest arises.
6.   Client Duties and Responsibilities – The Coach and the Client each acknowledge and agree to their respective duties and responsibilities under this Agreement, including the following duties and responsibilities of the Client:
7.   The Client  shall be solely responsible for creating and implementing his or her own physical, mental, financial, educational and emotional well-being, decisions, choices, actions and results arising out of or resulting from the coaching relationship with the Coach, and the implementation of choices rests solely and exclusively with them;
8.   The Client agrees to communicate honestly, be open to feedback and assistance and to create the time and energy to participate fully in the relationship;
9.   The Client acknowledges that coaching does not involve the diagnosis or treatment of physical or mental disorders and that coaching is not to be used as a substitute for counseling, psychotherapy, mental health care, substance abuse treatment, or other professional advice by legal, medical or other qualified professionals.
   
   The Client agrees to seek appropriate care from appropriate medical professional or therapist if needed in conjunction with coaching
10. Client may not share Kajabi login information or password with anyone else. If Client shares password with anyone else, Client will be removed from program immediately and no refund will be issued and, if on payment plan and second payment has not been made, payment will still be paid to Coach.
11. Client understands and accepts that no guarantees are made for specific results from Revive. Each person and her/their circumstance is unique.
12. Client confirms they are a woman as this is a women’s group program
    
    Client acknowledges that they do not fall into the following categories as listed on the sales page for who this program is NOT for -
    Client confirms they are not: experiencing abuse/violence in their relationship, in a relationship with active substance abuse, in a relationship and have recently found out about an affair or where a past affair has occurred and it is greatly impacting the relationship and/or  Client’s partner isn’t interested in doing healing work around affair,
    experiencing untreated psychiatric emergencies. If affair has happened, Client agrees that they have reached out to Coach prior to registering for Program and Coach has approved entry and discussed Client expectations.
13.   Confidentiality – The Coach agrees to maintain, use and store and dispose of any records, including any and all personal information collected from the Client, including electronic files and communications, created during the course of providing Coaching Services under this Agreement in a manner that promotes confidentiality, security and privacy.    The parties recognize that the Coach-Client relationship is not considered a legally confidential relationship (such as with a physician or lawyer) and thus communications are not subject to the protection of any legally recognized privilege. The Coach may modify conversations from zoom sessions for social media, website or email marketing or any purpose without any Client identifiers. The coach may use screenshots from facebook community or record voice notes from zoom and change voice or mute and add captions and use for social media, website, email marketing or any purpose without any Client identifiers. Client has option of posting anonymously in facebook group. Coach will see identity but other Clients will not. The Coach can discuss Client information with Coaching/Therapy Team at the Center for Thriving Relationships and with NLP Certification Trainers without disclosing Client's identity in order to best serve Client.
    
    The Client agrees to maintain confidentiality for those in February-April 2025 cohort of Revive and to not disclose what happens in zoom sessions or facebook group with anyone outside of February-April 2025 of Revive program. Client agrees that recorded group coaching calls stored in kajabi portal are not to be shared with anyone outside of February-April 2025 cohort of Revive. Audio may not be shared with anyone outside of February-April 2025 cohort of Revive. Client agrees to keep videos confidential. Client agrees to allow no one outside of February-April 2025 cohort to see or allow access to facebook community.
    
    Client agrees to not distribute, copy, forward and/or share the Program or its content with anyone else.
14.   Privacy – The Coach agrees to protect all personal information collected from the Client for the purpose of providing Coaching Services. The Client agrees to the collection of use of the personal information in accordance with the Privacy Policy of the Coach for the purpose of delivering and administering the Coaching Services.  The full privacy policy of the Provider is available here at www.lovingwithintentioncoach.com. In addition to receiving applicable Coaching Services correspondence via e-mail or other electronic communication , the Client expressly consents to receive any marketing correspondence from the Coach upon signing this Agreement.  The Client may unsubscribe from any such marketing lists without affecting access to the Coaching Services. 

1.  Limited License to Coaching Program Materials – The Coach may use copyrighted materials and tools in the course of providing Coaching Services.  The Client is granted a single-use, non-exclusive, non-transferable, revocable license to use such materials within the context of Coaching Services only. All ownership rights in any intellectual property related to the Coaching Services remain with the Coach and the Client may not use or reproduce any of the content in any manner, without the express written consent of the Coach.
2.  Legal Disclaimer – Not Medical Advice – The Client shall be required to use their own judgment in applying the information provided in the Coaching Services to their own personal circumstances and may wish to get additional professional advice, including medical advice, where appropriate. The Coaching Services shall not be considered to be medical advice.
3.  Legal Disclaimer – Technology – The Coach shall not be liable for any losses or damages of any kind related to any websites, technology platforms or any other technology used in the delivery of the Coaching Services being unavailable or unusable for any reason whatsoever.  The Client hereby agrees that they have the necessary Internet connection and other technology in order to participate fully in the Coaching Services.
4.  RELEASE AND INDEMNITY. The Client  hereby agrees to release the Coach and their partners, employees, consultants, agents and licensors from liability, and in no event shall any or all of the Coach and their partners, employees, consultants, agents or licensors be liable to the Client or any other person or entity, for any and all liabilities and damages (including any direct, indirect, special, exemplary or consequential damages, including lost profits) whatsoever arising from the use of the Coaching Services (including any breach by you thereof), or otherwise relating to this Agreement and the Client agrees that their sole remedy for any claim, loss, damage, costs or expenses is to terminate the Coaching Services. The Client  will indemnify and hold harmless the Coach and its partners, employees, consultants, agents or licensors from and against any claims, losses, judgments, damages, costs and expenses (including without limitation, reasonable legal fees) incurred by any of them due to or resulting from their use of the Coaching Services or otherwise relating to this Agreement. The Client  will also indemnify and hold harmless the Coach and their partners, employees, consultants, agents or licensors from and against any claims brought by third parties arising out of the use of Coaching Services.
5.  Governing Law and Jurisdiction. The Coaching Services are provided by the Coach within the Province of British Columbia, Canada. By accessing or using the Coaching Services, the Client agrees that all matters relating to your access to, or use of the Coaching Services shall be governed by the laws of the Province of British Columbia, and the federal laws of Canada applicable therein, without regard to conflict of laws principles. The Client agrees and hereby submits and attorns to the exclusive jurisdiction of the courts of the Province of British Columbia, with respect to all matters relating to their access to and use of the Program.
6.  Customer Service Requests – If you have questions or comments or need to provide notice of any kind to the Coach regarding the Coaching Services, please e-mail the Coach at lindsay@lovingwithintentioncoach.com 

1.  Dispute Resolution - If a dispute arises out of this Agreement that cannot be resolved by mutual consent, the Coach and the Client agree to attempt to mediate in good faith for up to 30 days after notice given. If the dispute is not so resolved, and in the event of legal action, the prevailing party shall be entitled to recover legal fees and court costs from the other party. 

1.  Severability - If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. 
2.  Waiver - The failure of a party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party’s right to subsequently enforce and compel strict compliance of this Agreement. 

1.  Entire Agreement - This is the entire agreement between the Client and the Coach relating to the Coaching Services for Relationship Recharge.  Any amendments to this Agreement must be made in writing and agreed to in writing by all of the parties in a written or digital format.
